1. Definitions

• "Company", "We", "Us", or "Our" refers to Rank Mario, a Canada-based SEO agency.
• "Website" means the website located at https://rankmario.com/ and all associated pages.
• "Services" means all SEO services offered by Rank Mario, including Local SEO Strategy, On-Page & Technical SEO, Google Business Profile (GBP) & Maps SEO, and Content & Conversion services.
• "Client", "You", or "Your" means any individual or business that visits our website, submits an inquiry, or enters into a service agreement with us.
• "Agreement" means these Terms of Use together with our Privacy Policy, and any signed service proposal, engagement letter, or statement of work.

2. Eligibility

By using our website or engaging our Services, you represent that you are at least 18 years of age and legally authorized to enter into contracts on behalf of yourself or the business you represent. Rank Mario serves clients in Canada and the United States.

3. Website Use

You agree to use this website only for lawful purposes. You must NOT:

• Copy, reproduce, scrape, or distribute any website content without prior written permission from Rank Mario
• Use automated bots, crawlers, or scraping tools to access our website or collect data
• Attempt to gain unauthorized access to any part of our website, backend systems, or client data

• Use our website to defame, harass, or harm any individual or organization
• Misrepresent your identity or affiliation when contacting Rank Mario

4. Services

Rank Mario provides SEO services as outlined in individual proposals and statements of work. Our core services include:

• Local SEO Strategy: keyword research, competitor analysis, city- and industry-specific roadmaps
• On-Page & Technical SEO: site structure, speed optimization, schema markup, and technical audits
• GBP & Maps SEO: Google Business Profile optimization to rank in the local 3-pack
• Content & Conversion: location pages, service pages, and blog content optimized for search intent and lead generation

The scope, deliverables, timeline, and pricing for each engagement are defined in the signed service agreement. Rank Mario reserves the right to decline any service request at its sole discretion.

5. No Guarantee of Results

SEO involves complex, evolving algorithms and competitive market factors that are beyond Rank Mario's direct control. While we employ proven strategies and have a strong track record, we do not guarantee specific outcomes such as particular search rankings, traffic volumes, lead counts, or revenue figures.

Past performance metrics shared on our website (e.g., 187% average traffic increase, $47M+ client revenue) represent historical client results and are not a guarantee of future performance for any specific client.

6. Intellectual Property

All content on the Rank Mario website — including text, graphics, logos, case studies, videos, and proprietary SEO frameworks — is the exclusive property of Rank Mario and protected by applicable Canadian and international intellectual property laws.

Upon full payment, deliverables created specifically for a client (e.g., location pages, blog content, GBP posts) become the intellectual property of the client. Strategic documents, templates, audit frameworks, and proprietary methodologies remain the sole property of Rank Mario.

7. Client Responsibilities

To ensure effective service delivery, you agree to:

• Provide accurate and complete information about your business, service areas, and goals
• Grant necessary access to Google Search Console, Google Analytics, Google Business Profile, and website CMS
• Designate a point of contact for communications and approvals
• Review and respond to deliverables and reports within agreed timeframes
• Ensure that all content, logos, and assets provided to Rank Mario do not infringe any third-party rights

8. Payment Terms

Payment terms are outlined in each individual service agreement. Unless otherwise agreed in writing:

• A retainer or advance payment is required before project commencement
• Monthly retainer fees are invoiced at the start of each billing cycle
• Invoices are payable within 7 business days of issuance
• Late payments may result in a temporary suspension of services
• All fees are quoted in Canadian Dollars (CAD) or U.S. Dollars (USD) as specified in the proposal, and are exclusive of applicable taxes (GST/HST for Canadian clients)

Rank Mario reserves the right to adjust pricing with reasonable advance notice.

9. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information exchanged during the engagement, including business strategies, campaign data, client lists, SEO audits, and proprietary processes. Rank Mario will not disclose client information to third parties except as required to deliver the agreed services or as required by law.

10. Limitation of Liability

To the maximum extent permitted by applicable Canadian and U.S. law, Rank Mario shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our website or services, including but not limited to loss of revenue, lost profits, or loss of business opportunity.

Rank Mario's total liability to any client for any claim arising from a service engagement shall not exceed the total fees paid by that client in the 3 months preceding the claim.

11. Termination

Either party may terminate an ongoing service engagement with 30 days written notice, unless otherwise specified in the individual service agreement. Upon termination, the client is responsible for payment of all work completed up to the termination date. Rank Mario will deliver all completed assets and transfer access to all client-owned accounts within 5 business days of the termination date.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Canada and the Province of the applicable jurisdiction. Any disputes arising from these Terms or the use of our services shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the competent courts of Canada.

For U.S.-based clients, these Terms do not limit any rights you may have under applicable U.S. federal or state consumer protection laws.

13. Changes to These Terms

Rank Mario may update these Terms from time to time. The revised Terms will be published on our website with an updated effective date. Continued use of our website or services constitutes acceptance of the revised Terms.
